The Sr. Counsel Real Estate and Commercial will provide legal support to internal clients as it relates to real estate, construction, environmental matters, green initiatives and other commercial transactions supporting indirect procurement, including drafting and negotiating agreements and achieving compliance as it relates to relevant laws and corporate policies. The assignments and responsibilities require direct contact with internal and external clients and stakeholders, the ability to handle complex legal issues, the ability to work independently, and the ability to exercise critical judgment to minimize potential legal exposure and risk.This position has been segmented as "Hybrid" meaning there is a combination of three onsite days per week and the rest remote.
Responsibilities:
This position will focus primarily on supporting the functions of US Foods relating to its commercial real estate and indirect procurement contracts.
Commercial real estate transactions including all stages of property purchases, dispositions, and lease negotiations
Negotiate easements, estoppels, SNDAs, access agreements, and construction agreements
Lead dispute resolution related to commercial real estate
Provide legal support on all environmental matters related to our facilities
Lead legal review and negotiations of contracts related to solar installations and other decarbonization efforts at our facilities
Support broader commercial agreements including supply agreements, master service agreements, and NDAs
Collaborate with other Legal team members on a variety of contract and commercial issues.
Analyze complex commercial/business concepts and identify relevant legal issues and related, real-world risks; provide prompt, clear and practical legal analysis, advice, and solutions; and generally assist the business in achieving its goals.
Utilize primary and secondary resources for legal research.
Manage contracts in an electronic contract management database if and as requested by the Legal department.

Relationships:
Internal: Advise, counsel and support in negotiations, acting as a key partner for internal business stakeholders
External: Represent the company and its Legal department when dealing with external legal representatives in negotiations and disputes.
Minimum Qualifications:
Minimum seven (7) years related commercial real estate and transactional experience in contracts required
Prior in-house experience
Education:
Juris Doctor from an ABA accredited law school
Licenses:
Licensed to practice law and in good standing in Illinois
Preferred Qualifications:
Able to manage multiple projects and work successfully in a fast-paced environment under time constraints.
Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels.
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Proven ability to incisively and pragmatically evaluate issues and independently make decisions regarding complex legal issues with minimal supervision.
Skilled in interactions which involve contentious situations, negotiations, or influencing and garnering support for issues or projects.
Universal Pay Verbiage:
Compensation depends on relevant experience and/or education, specific skills, function, geographic location, and other factors as applicable by law. The expected base rate for this role is between $110,000 and $180,000.
This role will also receive an annual incentive plan bonus and long-term incentive plan.
