SVP Tax Planning -M&A
Description Robert Half Management Resources is recruiting a strong independent contributor SVP of Tax Planning with deep expertise in Mergers and Acquisitions (M& A) to support our entertainment client on a 3-month engagement (100% remote). The SVP of Tax Planning will report directly to the EVP of Tax and support several ongoing high-impact transactions. The SVP of Tax Planning will be pivotal in advising on the tax implications of complex M& A deals. This individual will be responsible for reviewing and analyzing legal documents and collaborating with cross-functional teams, including legal, finance, corporate development, and external advisors. Responsibilities: • Advise on tax implications associated with complex mergers and acquisitions. • Review and analyze legal documents pertaining to M& A transactions. • Collaborate with various teams including legal, finance, and corporate development. • Work alongside external advisors to ensure the best outcomes for all transactions. • Utilize your expertise in Entity Formation, Income Tax Provision, and Tax Research & Planning. • Leverage your skills in Microsoft Excel and PowerPoint Presentation to create decks and explain deal structures. • Draft and amend key tax-related provisions in purchase, sale, and partnership agreements. • Use your hands-on experience in closing transitions with M& A transactions. • Oversee the process of drafting legal documents related to M& A deals. Requirements • Minimum of 10 years of experience in tax planning and M& A • Certified Public Accountant (CPA) or Juris Doctor (JD) is preferred • Bachelor's degree in Business, Accounting, Finance, or related field • Proficient in entity formation and income tax provision • Strong skills in tax research and planning • Experience with mergers and acquisitions (M& A) is essential, ideally with private equity firms • Proficiency in Microsoft Excel (i.e. basic modeling) and PowerPoint presentation is required • Ability to draft agreements and legal documents effectively • Strong knowledge of federal, state, and local tax laws • Proven record of successful tax strategy implementation • Strong technical tax expertise (CFC analysis, 987 regulations, provisions, purchase agreements) • Ability to analyze, draft, amend, and negotiate key tax-related provisions in purchase, sale, and partnership (LLC) agreements.
