Job Description Summary

The Tax Manager will be responsible for and review certain aspects of the company’s global tax provision in accordance with ASC 740, Accounting for The Tax Manager will be responsible for and review certain aspects of the company’s global tax provision in accordance with ASC 740, Accounting for Income Tax. Responsibilities for the ASC 740 will include but are not limited to, the preparation and review of quarterly tax provision calculations, prepared in accordance with APB 28 and FIN 18; review of Form 10Q disclosures; preparation and review of year-end tax provision and related calculations, including: U.S. book to tax reconciliations, consolidated U.S. tax provision adjustments; International provision package review; valuation allowance analysis; accounting for uncertain tax positions; and related Form 10K disclosures.

This position will also lead the preparation, review, and filing of the Company’s U.S. federal, state & local income, and franchise tax returns. This role will have responsibilities including, but not limited to, the preparation and management of the estimated and extension process; developing the responses to tax notices and audit requests; calculation of the U.S. provision to return; global tax compliance coordination; and global return to provision calculation review.
This position will supervise, coach, and mentor tax staff to ensure that all work is performed professionally, in a timely and accurate manner.

Job Description

Prepare and/or review non-US income tax returns, including tax form submissions, filings and applicable disclosures.Prepare and/or review Subpart F analysis, E&P adjustments and maintain documentation around substantial contribution analysis.Assist in GILTI and FTC calculations.Prepare U.S. international tax filings, including Form 5471 and 8858 on a quarterly and annual basis for assigned companies and supporting documentation.Prepare and/or review valuation allowance assessments and supporting documentation.Assist in the identification, documentation, and review of uncertain tax position reserves recorded under FIN 48.Assist in ensuring SOX 404 processes are followed for the respective areas of internal and external responsibility. Ensure the proper documentation is prepared and continually monitor the controls and modify the processes as needed.Preparing quarter tax provision journal entries, consistent with tax sharing agreements, for entry into OneStream.Preparation and/or review of U.S. GAAP required tax disclosures for Form 10Q quarterly financial filings.Prepare and/or review of U.S. GAAP required tax footnote and related disclosures for Form 10K annual financial filing.Prepare and/or review multi-year forecasted effective tax rate projections.

Prepare and review U.S. Federal taxable income calculations.Analyze the facts and circumstances of significant book transactions and determine applicable tax treatment in accordance with the relevant tax authority.Provide tax input for financial budgets and cash tax forecasts.Coordinate and manage the global tax calendars, estimated tax payments, and quarterly reporting of cash taxes.Develop supportable tax return positions in pursuit of income tax minimization or reducing the overall cash tax liability for the company.Prepare provision to return true-up calculations upon the filing of the tax returns.Respond to income tax notices and audit requests.

Assist with federal and state income tax planning to drive strategies for cash tax savings and effective tax rate reduction.Assist in providing technical and computational support and analysis for tax planning on acquisitions, restructurings and other strategic projects (i.e., what-ifs, gain/loss calculations, §382) to determine U.S. tax and business implications. Opportunities for involvement in numerous tax, treasury and business special projects will be available throughout the year.Assist with transfer pricing as directed.

Qualifications

BA/BS in Accounting required.5+ years progressive tax experience with Big Four/Large public accounting firm, and/or a large multi-state corporation experience.Experience in accounting for income taxes under U.S. GAAP ASC 740 (FAS 109).U.S. Federal and state and local income and franchise tax compliance experience required.Other accounting and auditing experience is a plus.Tax controversy experiences a plus.CPA or MS in taxation preferred. Federal consolidated and multi-state income and franchise tax compliance experience.Global tax provision and compliance experience preferred.Knowledge and experience with SAP, OneStream and ONESOURCE Tax Provision and Compliance, SAGE Fixed Asset software is desirable.

Knowledge

Detailed knowledge of ASC 740 (formerly FAS 109).Partnership Tax Compliance a plus.Transfer pricing knowledge a plus

Skills and Abilities

Strong organizational skills with the ability to prioritize and manage a team to balance requests from within the company in a fast paced, dynamic environment to meet deadlines.Sound business judgment and decision making and problem solving abilities.Research experience with tax research software such as BNA, etc.Demonstrated interpersonal skills to work with outside auditors and communicate effectively with Company executives as well as staff, and tax and non-tax personnel, supported by a high level of integrity and professionalism.Ability to work in a team environment and build cross functional relationships.Proficiency in Microsoft Excel is required.Excellent written and verbal communication skills.
