Transactions Associate Attorney
Location: Dallas, TX
Our client, a prominent AmLaw 50 law firm, is seeking an experienced and highly motivated Associate Attorney to join its nationally integrated Transactions Practice Group in Dallas. This position offers an exciting opportunity to work on complex domestic and international mergers and acquisitions transactions (M&A), securities matters, and corporate governance for middle-market and upper-middle-market companies, as well as private equity firms.
Candidate Profile:
JD from a top ABA-accredited law school with a strong academic record. Active Bar Admission in good standing. Timely admission to the Texas Bar will be a condition of employment. 3–5 years of substantive experience representing clients in M&A, corporate governance, financings, securities, and other commercial transactions. Strong background in drafting and negotiating transaction documents, with excellent communication and interpersonal skills. Positive attitude, exceptional work ethic, and a collaborative mindset. Ability to work effectively on teams and engage directly with partners, senior associates, and clients.
Key Responsibilities:
Represent clients in complex domestic and international M&A transactions, including private equity investments and divestitures. Advise on corporate governance, securities compliance, and other commercial matters. Draft and negotiate transaction documents, including purchase agreements, financing documents, and corporate governance instruments. Collaborate with a nationally integrated team, supporting high-stakes transactions and ensuring the delivery of exceptional client service. Build and maintain strong client relationships, demonstrating the ability to manage multiple priorities and deadlines.
