Job Description

THE IMPACT OF THIS ROLE


Provide strategic legal advice and deeply hands on legal support to the business units of Rosewood Hotel Group (“RHG”) on a variety of matters, independently negotiate, manage and execute development projects for RHG, advise on new hotel and residential deals, hotel operations and draft, review and negotiate various vendor and other contracts. The predominant geographic focus of this role is the Americas. The attorney will be required to manage and execute complex transactions, effectively supervise outside counsel, understand internal processes, work with owners, developers and lenders across varied cultures and legal environments, and coordinate tax, insurance, intellectual property, design and risk management issues within RHG. The attorney will collaborate closely with senior members across departments and at the property-levels, including Operations, Development, Commercial, Talent & Culture, Information Technology, Brand, Residential and Design and Project Services. Travel will be required from time to time.
KEY RESPONSIBILITIES • Draft, review and negotiate management agreements, license agreements, technical services agreements and other hotel-related agreements with owners; monitor compliance with local laws; oversee legal requirements and documents at hotel pre-opening stage. • Review and advise on structuring of mixed use (i.e., hotel and residential), standalone residential and other development projects. • Provide solution-oriented legal advice to RHG’s operations; interpret external legal advice in layman’s terms; and assist in developing strategies to manage legal risks. • Provide legal guidance and risk analysis across the organization, including finance, operations, human resources, sales & marketing, IT and design teams. • Handle a variety of commercial corporate- and master services/global- level agreements, including drafting, reviewing and negotiating contracts on behalf of all business units. • Devise and implement policies, procedures and best practices and the corresponding trainings to corporate business units and property teams. • Project manage matters for the Global Portfolio (Asset) Management Committee. • Cross-disciplinary risk management (minus data privacy matters). • Liaise with, instruct, and supervise external law firms and appropriate external parties. • Oversee management of corporate secretarial matters (i.e., appointment/resignation of directors, setting up or dissolution of legal entities etc) for RHG and/or its group companies. • Provide support to General Counsel on strategic key initiatives and projects.
CRITICAL SKILLS & QUALIFICATIONS • Minimum of 10 years combined (i) post-qualification experience in major international law firm or in-house, in corporate/M&A or real estate/hotels-related transactions and (ii) in-house experience (preferably in a hospitality company). • Business-minded and process-driven. • Strong management, coaching and development skills required for current and future members of this growing team. • Strong communication, inter-personal and organizational skills. Able to simply communicate complex or technical issues to various audiences. • Excellent lateral thinking skills and judgement. • Must have the ability to juggle both substantive, legal operations-related and “administrative” tasks, including helping manage budget and external vendors. • Professional fluency in both written and spoken English. Spanish is a plus. • Must be a self-starter that can work effective both as a team and individually. • Able to establish relationships with internal clients, nurture respect and trust, and act with strong sense of integrity and professionalism. • Sound knowledge in M&A, real estate or other transactional work and general corporate/commercial law. Solid experience in contracts drafting and negotiation. • Knowledge and experience in intellectual property/licensing, data privacy and security, retail operations and e-commerce, advertising, as well as technology-related commercial contracts would be a major plus. • Oversee and manage litigation and legal disputes at the corporate and hotel levels. • Implement training on Company policies and general best practices. • Desire to establish trusted business relationships and processes with both internal and external parties. • Strong analytical and critical thinking skills combined with law-firm level attention to detail and thoroughness. • Strong drive to carry multiple projects and matters through to successful completion. • International experience or exposure strongly preferred.
This position is open to candidates based in Los Angeles, CA, Miami, FL, or New York City. The salary range for this position is $280,000-$305,000 annually. This is the pay range for this position that the company reasonably expects to pay. This position also may be eligible for bonuses. Decisions regarding individual salaries will be based on a number of factors, such as experience, type of experience, location, and education.
