The VP, Deputy General Counsel, Transactions is responsible for the review, drafting and negotiation of all vendor agreements required to satisfy Cenlar’s procurement of third-party goods and services. The VP also oversees the negotiation and execution of subserving agreements. The VP collaborates with members of the Legal department, Procurement, IT, Finance, Risk, Legal, Servicing operations, HR and other stakeholder to ensure the timely completion of vendor contracts that minimize risk; analyze contract requirements, terms, and conditions to ensure compliance with company risk guidelines. The VP manages vendor contract strategies that drive significant value and impact for operations and profitability driving near and long-term opportunities to capture total cost benefits and service enhancements.
Responsibilities
Provide legal support to Cenlar's Procurement function for all vendor contracts Draft and negotiate various vendor agreements on behalf of Cenlar including but not limited to master service agreements, outsourcing and offshoring agreements, software as a service, licensing, professional services, IT services, facilities, and contingent laborPartner with key business leaders and executives to understand strategic direction, supply requirements and business objectives and prioritiesCollaborate with cross-functional teams to assess sufficiency of business requirements and to assess risk of vendor initiativesDevelop and execute fact-based negotiation strategies for contracts and lifecycle vendor managementCreate contract summaries for business executives to articulate key provisions of negotiated contracts; advise business leaders on contracting provisions, risks and recommendationsMaintain and improve Cenlar’s contract template library, ensuring all documents align to regulator guidance, GSE guidelines, client requirements, and industry best practicesAssist in streamlining tasks and building technological efficiencies in an effort to improve the contracts administration process and ensure the quality of contractual system metadata while maintaining high quality functional supportDemonstrate consideration for Cenlar's reputation as well as our clients, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standardsEnsure all activities are in accordance with Cenlar's approved risk appetite statement and applicable compliance and regulatory requirements.Manage junior counsel primarily responsible for negotiating subservicing agreements with clients. Mentor junior counsel to enable them to provide more assistance to the VP.Qualifications
J.D. and licensed member in good standing of the Bar of at least one U.S. state required12+ years of experience in mortgage industryMinimum of 10 years of relevant legal experience for vendor contractingStrong leadership skills to inspire outstanding performance through collaboration and oversight of junior counsel.Effective listening, communication, and presentation skills to present complex topics to senior management in a persuasive mannerStrong problem solving and analytical skills to come up with a mutually acceptable solutions utilizing available resources with diverse perspectivesExcellent coaching and counseling skillsExcellent organizational skills and ability to multi-task to manage multiple large-scale complex projects enterprise-wideExcellent negotiation strategy and execution skillsProven people, strategic and tactical leaderResourceful and aggressive ability to research legal issuesTotal Rewards:
