Get to Know the Opportunity

The Active Ownership team plays several important roles in the success of Voya IM’s ability to help our clients meet their investment goals, and to contribute to Voya’s ESG program.  Each year, the Active Ownership team researches and votes thousands of public company shareholder meetings and conducts engagement meetings with many of our portfolio companies on behalf of our Voya mutual funds’ shareholders and our institutional investors’ accounts managed by Voya IM.  Active ownership is key to giving our clients a voice in the governance of their portfolio companies.  Many of the issues that the team researches, votes, and engages on relate to events and issues currently in the news at companies around the world.

In addition to engaging with public companies as well as researching and voting proxies, the team provides active ownership expertise to stakeholders across Voya, works closely with various departments to ensure we satisfy our clients’ active ownership expectations, and oversees our service providers. The key responsibilities of this role are:

Demonstrate expertise on matters effecting active ownership activities including corporate governance, sustainability, corporate strategy, and financial performance.Exhibit strong leadership, teamwork, and accountability.Stay well-informed of emerging ESG trends and regulatory matters affecting active ownership.Prioritize the needs of both internal and external clients, delivering exceptional client services and fostering strong relationships.Prepare for, lead (as needed), analyze, and document outcomes of engagement meetings with portfolio companies.Update (as needed) Voya IM’s global proxy voting and engagement policies to ensure the policies reflect current voting matters.Ensure ballots are voted in accordance to the proxy voting policy.Liaise with investment analysts to implement Voya IM active ownership policies, including engagement priorities and vote recommendations.Prepare and present (as needed) material for the proxy voting committees and board of directors.Collaborate with and assist in leading the team to identify ways to improve policies and business processes.Respond to client requests for active ownership activity and outcomes.Oversee the account maintenance platforms to ensure accounts are set up correctly for voting and reporting.Exhibit strong leadership and teamwork.Manage members of the Active Ownership team; holding self and team members accountable.

Please Note: This position allows remote work from home but will require travel to our Voya office as business requires.  If you are located near a Voya office, you will be required to operate on a hybrid work basis. Details of this will be explained with your manager.

The Contributions You'll Make:

Oversee and assist in preparing for engagement meeting with senior representatives of portfolio companies, including scheduling, compiling research and supporting materials, and creating meeting documentation that highlights key and historical data.Actively foster the growth and development of the team members.Attend, document and lead (as needed) engagement efforts, including meeting notes, outcomes, and key take-aways.Prepare engagement meetings summaries to be shared with investment analysts, proxy committees, and mutual fund board of directors.Collaborate with client-facing and investment teams to prioritize engagements with portfolio companies.Oversee and assist in assembling and processing proxy advisors’ research materials and account holdings in preparation for voting analysis and implementation.Collaborate with team members to ensure all accounts are voted in accordance with the applicable proxy voting policy, including engaging with the applicable investment analyst(s) for vote recommendations.Coordinate with team members to confirm all ballots are voted correctly before the meeting cut-off date.Monitor proxy advisory firms’ voting policies updates and emerging ESG trends and recommend updates to Voya IM’s proxy voting policies.Oversee and assist in the development and presentation of quarterly and ad-hoc meeting materials for the proxy committees and the mutual funds’ board of directors.Work with client service, compliance, and the RFP team to respond to active ownership-related client inquiries and reporting.Oversee and assist in the set-up, maintenance, and removal of the accounts for which Voya IM vote proxies, including working with the business operations team, ISS, and client custodians.Monitor legal and regulatory requirements that potentially impact active ownership activities globally.

Minimum Knowledge & Experience

An undergraduate degree in business finance, economics, sustainability or another relevant field or equivalent experience.10+ years of active ownership-related experience.A keen interest in corporate governance, sustainability, corporate strategy, and financial performance.Proven strong leadership qualities, setting and achieving personal and team goals, and supporting team development.Excellent verbal and written communication skills.Able to prioritize and manage multiple responsibilities and projects in a fast-paced, deadline- and compliance-driven work environment.Highly detail-oriented with exceptional organizational skills.Strong work ethic.Demonstrate the ability to work independently as well as function in a small team environment.Able to build strong working relationships with colleagues and external parties.Take a proactive approach in completing tasks and projects and demonstrate the ability to uncover issues and utilize superior problem-solving and critical thinking skills to find solutions to project challenges.Proficient in Microsoft products, Adobe, and SharePoint.

Compensation Pay Disclosure:

Voya is committed to pay that’s fair and equitable, which means comparable pay for comparable roles and responsibilities.

The below annual base salary range reflects the expected hiring range(s) for this position in the location(s) listed. In addition to base salary, Voya offers incentive opportunities (i.e., annual cash incentives, sales incentives, and/or long-term incentives) based on the role to reward the achievement of annual performance objectives. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Voya Financial is willing to pay at the time of this posting.

Actual compensation offered may vary from the posted salary range based upon the candidate’s geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

$130,000 - $160,000 USD
