We are seeking an experienced and strategic Vice President of Governance to lead and manage the Committee Governance, Reporting and Program Oversight within the second line of defense for the Compliance Risk Management framework at American Express, a leading financial services institution. This individual will be responsible for ensuring that foundational elements within the governance framework is robust, aligned with regulatory requirements, industry best practices and effectively manages compliance risks across our firm, including credit cards and deposit services.

As a key leader in the compliance organization, the Vice President will work closely with senior management, business units, and other risk functions to provide oversight, challenge, and guidance, ensuring that regulatory compliance and risk management processes are embedded in the organization’s operations.

Key Responsibilities:

Compliance Risk Committees and Reporting 

Oversee and assist in committee adherence and executive reporting to the firmwide standards on committees Develop and lead the content creation for related Board, Management and regulatory reporting for the firm including structure and volume for compliance risk reporting Lead the coordinate of all aspects of compliance committee management including leadership, facilitation, and strategic planning Lead the administrative management of the committee including preparing meeting materials, recording and distributing accurate meeting minutes, capturing key decisions and action items from committee meetings as well as follow-up tracking, and maintaining committee records, including membership details, and important documents Manage various compliance governance committees and regulatory reporting, ensuring clear agendas, actionable outcomes, and adherence to governance protocols ensuring methodology is aligned across non-financial risks Partner with senior leadership to ensure regulatory priorities and compliance risks are effectively communicated and addressed. Drive strategic initiatives to transform committee effectiveness and streamline decision-making. Liaise with other committees and departments to ensure alignment on coordinated efforts Engage with Legal, Compliance, Risk and Audit with respect to committee matters

Data Analytics and Reporting

Develop a transformative and data driven compliance monitoring strategy to enable the identification, measurement, monitoring and controlling of compliance risks, exceptions, and issues within the scope of the Compliance Management System  Analyzing customer complaints to identify trends and regulatory risk Conducting root cause analysis of compliance issues and aligning findings with regulatory requirements Ensure consistency with operational risk team and aggregate view of common themes, ensure root-cause analysis from a compliance perspective.  Delivering actionable insights to mitigate customer harm and regulatory exposure. Oversee the production and enhancement of compliance risk reporting, ensuring accuracy, relevance, and alignment with enterprise standards. Develop and maintain dashboards for senior leadership to track compliance risks, issues, and resolution progress.

Compliance Program Oversight

Develop and implement the program oversight program (QA) including but not limited to compliance officers, non-financial compliance risk reliance model (for areas not within the core compliance requirements), with a focus on identifying gaps and improving effectiveness, ensuring consistency in adherence to standards and execution, and alignment with industry practices and regulatory expectations Ensure effective challenge and escalation processes are in place within the compliance program. Develop and distribute dashboards, and scorecards for senior leadership to track compliance risks, issues, and resolution progress that enables self-regulation.

Leadership and Stakeholder Engagement

Lead the compliance review and approval process for new products and services, ensuring regulatory and operational risks are fully assessed and addressed. Partner with product development, legal, and risk teams to embed compliance requirements into product design and lifecycle management. Monitor and evaluate changes in regulatory requirements to ensure the product approval process remains current and effective. Build and lead a high-performing team, fostering a culture of collaboration, accountability, and continuous improvement. Collaborate with enterprise-wide stakeholders, including legal, risk, and business units, to align compliance priorities with strategic objectives. Represent the compliance function in interactions with regulators, auditors, and senior leadership. Manage and develop a team of governance professionals, providing strategic direction, performance management, and professional development opportunities. Promote a culture of integrity, collaboration, and continuous improvement.

Qualifications:

Education: Bachelor’s and/or Master’s degree in finance, law, business, or a related field. Master’s degree or relevant certifications (e.g., CAMS, CRCM) are a plus.  Minimum +12 years of experience in compliance, governance, or risk management within a financial services institution, preferably within a bank. Deep understanding of the regulatory environment and industry best practices, especially as it pertains to consumer compliance (e.g., UDAP, AML, BSA, Fair Lending). Demonstrated experience in leading governance functions within the second line of defense and/or third line of defense within a financial services institution, preferably within a bank. Strong experience interacting with regulatory agencies and managing regulatory exams. Experience with data analytics and risk management practices. 

    Skills and Competencies:

Excellent understanding of compliance risk management frameworks and the three lines of defense model. Professional experience in handling policy governance objectives. Strong leadership and interpersonal skills with the ability to influence and collaborate with people at all levels of the organization. Exceptional problem-solving, analytical, and decision-making skills, with the ability to balance business objectives with regulatory requirements. Excellent project management and organizational skill, with the ability to manage multiple priorities in a fast-paced environment while maintaining attention to detail. Ability to both work independently and collaboratively with team-members and to navigate a complex organization  Excellent verbal and written communication skills for preparing and delivering reports, presentations, and policy documents. Able to clearly convey regulatory complexities to various stakeholders.  Experience working cross-functionally to align on compliance standards and reporting processes.  Experience in delivering high quality work products, reflecting strong attention to detail.  Must be a self-starter flexible, innovative, and adaptive  Advanced analytics, PowerPoint and excel skills with an ability to learn new tools quickly.  Strategic thinker with a focus on driving results and operational excellence.

Salary Range: $200,000.00 to $275,000.00 annually + bonus + equity (if applicable) + benefits
